S-8 and Form 8-K by Shell Companies-Summary: The Securities and
Exchange Commission is proposing rule amendments relating to filings by
reporting shell companies. We propose to define a "shell
company" as a company with no or nominal operations, and with no or
nominal assets or assets consisting solely of cash and cash
equivalents. We also propose to prohibit the use of Form S-8 under
the Securities Act of 1933 by a shell company. In addition, we
propose to amend Form 8-K under the Securities Exchange Act of 1934 to
require a shell company, when reporting an event that causes it to cease being
a shell, to file with the Commission the same type of information that it
would be required to file to register a class of securities under the
Exchange Act. These proposals are intended to protect investors by
deterring fraud and abuse in our securities markets through the use of
reporting shell companies.
